When you access, browse or use this Site, you accept, without limitation or qualification, the terms of use set forth below (the “Terms”). When you access the sub-sites that are accessible through this Site, you accept any additional terms of such sub-sites if they have their own terms of use. Please read them carefully. Information on this Site may contain technical inaccuracies or typographical errors. Information may be altered or updated at any time without notice.
Electronic Communications
You consent to receive communications from Yamaha electronically. Yamaha will communicate with you by e-mail or by posting to this Site. You agree that all communications that Yamaha provides to you electronically satisfy any legal requirement that such communications be in writing.
Use of Site
This Site is provided for your personal and internal business use only. You are permitted to download copies of the proprietary PA system data, project files, configuration settings, and related documentation for Yamaha’s PA products made available for download from the Site (“System Data”) solely for the purpose of designing, configuring, operating, or managing audio systems that incorporate Yamaha’s PA products. You agree not to use, disclose, market, release, show, sell, rent, lease, loan, or otherwise grant access to the System Data except as expressly permitted by these Terms.
You are strictly prohibited from distributing, exchanging, modifying, selling, or transmitting any materials on this Site, including but not limited to System Data, text, images, software, audio, and video clips, which are protected by copyright and other applicable intellectual property laws (“Content”) from this Site for any other business, commercial, or public purpose. The Content are protected by applicable laws, including Japan and international copyright and trademark laws, and any unauthorized use of any Content may violate copyright, trademark, and other applicable laws. You may not frame or utilize framing techniques to enclose any portion of this Site or any Content without express written consent of Yamaha. You are granted a revocable and nonexclusive right to create a hyperlink to this Site so long as the link does not portray Yamaha, its affiliates, or their products or services in a false, misleading, derogatory, or otherwise offensive manner. You may not use any Yamaha logo or other Content as part of the link without express written consent of Yamaha. If you breach any of these Terms, your authorization to use this Site automatically terminates and you must immediately destroy any downloaded or printed Content herefrom.
You further agree not to interrupt or attempt to interrupt the operation of this Site in any manner. You are solely responsible for your conduct while using the Site and for compliance with all applicable laws, regulations, and these Terms. Yamaha will have no obligations with respect to the Communications. Governing Law and Dispute Resolution
These Terms and your use of the Site shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Tokyo, Japan to resolve any legal matter arising from these Terms or use of the Contents.
Miscellaneous Provisions
These Terms, together with any additional terms posted on the Site, constitute the entire agreement between you and Yamaha with respect to your use of this Site. If any provision of these Terms is found to be illegal or invalid, the content and validity of the remaining provisions shall not be affected. Yamaha’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
